These Terms of Service (the "Terms") govern your access to and use of the VOD Chatter website and services (the "Platform"). Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
Acceptance of Terms. By accessing or using the Platform in any way, including visiting the website, creating an account, or clicking "I agree" (or similar) where this option is made available to you, you acknowledge that you have read, understand, and agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.
VOD Chatter ("VOD Chatter," "we," "us," or "our") is a platform that lets creators ("Creators") present their publicly available livestream videos ("VODs") and real-time chat experiences to viewers ("Supporters" or "users"). Video content is displayed using YouTube's official embedded player and chat content is displayed using Twitch's official embedded chat widget. We may also link out to other live platforms (such as Kick) using standard links or buttons.
VOD Chatter itself is ad-free. We do not inject our own advertising, promotions, or monetized content into the YouTube or Twitch players or modify how those players deliver their own ads or controls. Any advertising you see inside the video player or chat area is provided solely by YouTube, Twitch, or other third-party services under their own terms.
VOD Chatter may show its own interface elements (for example, support buttons, subscription dialogs, notifications, spoiler warnings, or prompts) elsewhere on the page or as overlays that appear above page content, including areas where the embedded YouTube player or Twitch chat are visible. These elements are part of our site interface, not part of the YouTube or Twitch players, and they do not inject into, modify, or disable:
In some cases, VOD Chatter may temporarily display interface elements over the Twitch chat embed, including the chat input field, for purposes such as preventing outdated or spoiler messages from being sent while a viewer catches up. These interface elements are temporary and dismissible, do not modify the Twitch embed itself, and do not interfere with any required Twitch functionality.
Subject to your continued compliance with these Terms, VOD Chatter grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal use or internal business purposes. We may revoke, suspend, or limit this license (in whole or in part) at any time for any lawful business or compliance reason.
VOD Chatter does not host or store video or chat content. All video content is streamed directly from YouTube, and all chat content is streamed directly from Twitch (or other supported platforms, if added). We do not control and are not responsible for which videos or chats are available, what ads those platforms show, their moderation decisions, or their technical performance or uptime.
Because we do not host video or chat, we are not obligated to monitor or pre-screen any content displayed via embeds and have no general duty to remove, edit, or block specific content or users. If content is removed, age-restricted, geo-blocked, demonetized, or otherwise changed on YouTube, Twitch, or other platforms, it may stop functioning on VOD Chatter and we are not responsible for that change.
YouTube, Twitch, and any other platform remain fully responsible for the content they host and the moderation, enforcement, and ad delivery they perform. Your use of VOD Chatter is in addition to, and does not replace, your obligations under those platforms' Terms of Service and policies.
VOD Chatter may, in its sole discretion and for any lawful business reason, disable or discontinue a specific Creator page, user account, feature, or part of the Platform (for example, in response to clear illegality, fraud, repeated abuse, or provider requirements). Doing so does not mean we are moderating lawful speech generally; it is a limited business and operational decision.
VOD Chatter strongly values free expression. We do not create or moderate lawful speech, usernames, videos, or chat messages. All moderation for embedded video and chat is performed by the underlying platforms (such as YouTube and Twitch), not by us.
We do not remove or restrict content or usernames simply because they are controversial, offensive, unpopular, or express a particular political, religious, or social viewpoint, as long as they are lawful under applicable U.S. law and do not otherwise violate these Terms.
Nothing in these Terms obligates VOD Chatter to monitor, review, or pre-screen content. However, we may disable or remove content, channels, or accounts if we reasonably believe it is necessary to comply with law, court orders, or the requirements of our providers (such as Stripe, YouTube, Twitch, hosting vendors, or security services). Nothing in this Section guarantees that any particular content, channel, or user will remain available on the Platform, or that we will continue to provide the Platform or any feature of it.
You must be at least 18 years old and capable of entering into a binding contract to use VOD Chatter, including creating a channel, making payments, or receiving payouts as a Creator. By using the Platform, you represent and warrant that you meet these requirements.
The Platform is intended for individuals located in the United States. By using the Platform, you represent and warrant that you are accessing it from within the United States. We do not market, offer, or provide the Platform to users in the European Union, United Kingdom, or other jurisdictions outside the United States.
VOD Chatter is operated and governed solely under United States law, and you agree that your data and activity may be processed exclusively in the United States.
If you are not located in the United States, you must not use the Platform.
All video content on VOD Chatter is displayed through YouTube's official embed player and remains fully subject to YouTube's Terms of Service, Community Guidelines, API Services Terms, and embed requirements. We do not alter, modify, or reverse engineer the YouTube player; block, replace, or hide YouTube's ads or controls; change the playback of ads delivered by YouTube; or strip out attribution or branding required by YouTube.
All real-time chat displayed on VOD Chatter is provided directly by Twitch's official embedded chat widget (or another supported chat platform, if clearly indicated). VOD Chatter does not store, reproduce, or generate chat messages. Any older chat messages that appear inside a YouTube video are simply part of the video recording itself and are not displayed or generated separately by VOD Chatter.
Payments processed through VOD Chatter do not purchase, modify, or guarantee access to any YouTube or Twitch features, and do not create any relationship between a user and YouTube/Twitch regarding monetization.
VOD Chatter may display temporary interface elements, notifications, or visual effects (such as subscription, gift, or donation alerts) while third-party embedded players or chat widgets (including YouTube video players and Twitch chat) are visible. These elements are part of the VOD Chatter site interface and are clearly attributable to VOD Chatter through their context, labeling, or surrounding interface, and are not part of, affiliated with, or endorsed by YouTube, Twitch, or any other third-party platform.
Such overlays do not modify, inject into, or alter the embedded players or chat widgets themselves; do not replace, simulate, or interfere with advertisements, monetization, branding, or required controls provided by those platforms; and are designed to be temporary, dismissible, and accessible, including via keyboard controls. Overlays may temporarily appear above areas where embedded video or chat are visible, but are not intended to prevent users from viewing ads, using required controls, or using required chat functionality, and are removable by the user.
All advertisements, subscriptions, donations, and monetization displayed within embedded players remain governed solely by the applicable third-party platform's terms and policies.
For clarity, subscriptions, gifts, and donations processed on VOD Chatter are Platform features and are distinct from subscriptions or monetization features offered by YouTube, Twitch, or any other third-party platform.
You agree that you will not use VOD Chatter to:
As a Creator, you are solely responsible for ensuring that your use of VOD Chatter (including any embedded YouTube channels, Twitch channels, or other platforms) complies with all applicable third-party terms and policies. VOD Chatter does not provide legal advice or copyright clearance.
VOD Chatter may assign you a default username or display name (for example, a randomly generated combination of words) and may allow you to edit or customize it. Usernames and display names may be wholly or partially user-generated.
Usernames and display names on VOD Chatter are part of a shared, limited namespace and do not constitute property or grant any permanent or exclusive rights, even if you were the first to use a particular name.
VOD Chatter does not change or remove usernames or display names based on lawful viewpoints or opinions. However, we may, at any time and in our discretion, modify, reclaim, reassign, disable, or delete any username or display name for lawful business, operational, or compliance reasons. This may include, for example, preventing impersonation or confusion, resolving conflicts within the username namespace, or assigning a username to a verified Creator or brand.
We are not obligated to provide advance notice of any such changes, and we are not responsible for any impact or loss that may result from them.
While VOD Chatter does not restrict lawful expression, you may not use the Platform to engage in conduct that is illegal or that threatens the integrity and security of the service. Prohibited uses include:
As part of operating the Platform, VOD Chatter may manage, modify, or remove account identifiers, usernames, profile information, or other user-provided data as needed for lawful business or operational reasons. We have no obligation to retain or continue displaying any such data.
VOD Chatter may refuse, suspend, or discontinue access to the Platform or any part of it (including routing or processing payouts via the Platform) at its sole discretion, for any lawful business reason and without any obligation to provide a detailed explanation. This includes, by way of example:
Where funds are clearly and undisputedly owed to you under these Terms and are not subject to disputes, chargebacks, fraud review, legal process, or provider requirements, we do not intend to permanently withhold such funds, but we may delay or condition payouts as reasonably necessary for risk, compliance, or operational reasons.
Exercising this discretion is a business and operational decision. It is not a judgment of any Creator's opinions or lawful expression and does not imply that we endorse or oppose any particular viewpoint.
VOD Chatter enables Supporters to purchase Platform features (for example, channel subscriptions and gift subscriptions) and enables Creators to receive payouts through third-party payment providers such as Stripe, Inc. ("Stripe"). Payment processing, card storage, bank transfers, identity verification, and dispute handling are provided by Stripe and are governed by Stripe's own terms and policies.
VOD Chatter is not a bank or money transmitter. We do not provide banking services and do not offer deposit accounts. Where the Platform facilitates payments, funds typically flow through Stripe's payment rails and may be held, delayed, or reversed by Stripe as required by Stripe, applicable law, or risk controls.
Unless otherwise clearly stated at checkout, Supporter payments are processed through Stripe for Platform features offered by VOD Chatter. Your card or bank statement may show a descriptor referencing VOD Chatter and/or Stripe. Receipts and confirmation messages may be provided by VOD Chatter, Stripe, or both. Supporter purchases made on VOD Chatter are separate from any subscriptions, donations, or monetization you may make directly on YouTube, Twitch, or other third-party platforms.
Unless otherwise clearly stated on the Platform, VOD Chatter typically shares a high percentage of net subscription revenue with Creators. For purposes of these Terms, “subscription revenue” means amounts actually received from Supporter payments for (i) subscriptions and (ii) gift subscriptions purchased through the Platform (and not other types of payments or monetization offered by YouTube, Twitch, or any other third-party platform).
“Net subscription revenue” generally means subscription revenue minus: (a) payment processing fees charged by Stripe (for example, card processing fees), (b) amounts reversed or deducted due to refunds, chargebacks, disputes, fraud, or related adjustments, and (c) any other Stripe fees, costs, or adjustments attributable to providing subscription payments on the Platform (for example, fees we allocate through a platform-wide “fee pool” methodology).
For clarity, VOD Chatter may allocate certain Stripe fees or platform-wide payment costs across Creators through a fee pool or similar methodology. The allocation method may be updated prospectively for operational, risk, or accounting reasons.
Important: Stripe may also charge the Platform additional fees or adjustments not tied to a single payment (for example, monthly Stripe billing items, Stripe account fees, tax-related fees, FX fees, dispute-related adjustments, or other platform-level charges or credits). VOD Chatter may allocate such platform-level charges or credits across Creators in a reasonable manner (for example, proportionally based on activity or revenue during a period) and reflect that allocation by reducing or increasing Creator payouts.
As of the Last Updated date above, the typical revenue share is approximately 90% of net subscription revenue to Creators, but this percentage is not guaranteed and may be changed prospectively with notice through the Platform.
Creators may see information in their Stripe dashboard that differs from numbers displayed on VOD Chatter because Stripe and VOD Chatter may be describing different things. For example:
VOD Chatter's reporting is provided for convenience and may be delayed or approximate. Stripe is the system of record for payment processing events. If there is a conflict between a display estimate and Stripe's records, Stripe's records control for processing events; however, VOD Chatter may use its own records for allocating platform-level fees/credits and for computing Creator payout amounts under these Terms.
If refunds, chargebacks, disputes, Stripe fees, or other adjustments cause a Creator’s balance under VOD Chatter’s payout calculations to be negative, VOD Chatter may (to the extent permitted by law and payment provider rules) deduct that amount from future payouts, apply a rolling reserve, delay payouts, limit payout frequency, or require additional verification before resuming payouts.
These payout calculations are maintained on the Platform for operational, accounting, and risk purposes and may not match amounts shown in a Creator’s Stripe dashboard until funds are actually transferred or paid out.
Certain subscriptions or actions on the Platform may allow users to collect "Fan" for a creator's channel. Fan represents an in-platform engagement signal that may be used to influence rankings, visibility, or placement on features such as “Fan Favorites” or similar discovery surfaces. Fan is not money, has no cash value, is not transferable or refundable, and cannot be redeemed for goods, services, or discounts. While the Platform may display a user's collected Fan amounts for informational or engagement purposes, Fan does not confer ownership rights, voting rights, or guaranteed outcomes of any kind. Fan amounts, multipliers, collection mechanics, ranking algorithms, display methods, and related features are not guaranteed and may be modified, limited, delayed, inaccurately calculated, or discontinued at any time for business, technical, or balancing reasons. VOD Chatter is not liable for any lost, miscalculated, or unavailable Fan, nor for any impact to rankings or visibility resulting from outages, bugs, changes to the Platform, or technical issues. These features are provided solely for entertainment and engagement within the Platform.
Fan collections and Fan totals may be displayed publicly on the Platform in aggregated form, including in rankings, leaderboards, or discovery features such as "Fan Favorites," to highlight community engagement. These displays reflect collective activity only, are provided for entertainment and informational purposes, and may be approximate, delayed, or updated periodically. Public display of Fan totals does not imply endorsement, sponsorship, or guaranteed visibility.
Creators are solely responsible for determining and fulfilling any tax obligations that apply to amounts they receive (such as income, sales, or other taxes), including reporting and remitting taxes to the proper authorities. VOD Chatter does not provide tax, legal, or accounting advice and may, where required by law, issue tax forms or provide information to tax authorities.
Payments made through VOD Chatter are generally final. Refunds may be granted only if required by law or as determined by VOD Chatter in its discretion (and, where applicable, in coordination with the Creator and/or Stripe). VOD Chatter may decline refund requests, including where a Supporter received access to subscription benefits or where a request appears abusive or fraudulent.
A Supporter may dispute a payment with their card issuer or bank (a "chargeback") or through Stripe's dispute processes (a "Dispute"). Disputes and chargebacks can take weeks or months to resolve (often up to 90 days or more) and may move through multiple statuses (for example, inquiry, funds withdrawn, reinstated, or finalized). VOD Chatter does not control when Stripe or a bank updates a dispute status. Stripe and the financial institutions involved are the source of truth for dispute timing and outcomes.
Disputes, chargebacks, refunds, and related adjustments may reduce, delay, reverse, or make unavailable amounts that would otherwise be payable to a Creator. To manage risk and ensure correct settlement, VOD Chatter may, to the extent permitted by law and provider rules:
Platform-level vs. Creator-level impact. In many marketplace setups, disputes and chargebacks are processed at the platform level. Even if a Creator does not see a chargeback directly in their connected account, the economic impact may still reduce amounts payable to that Creator under these Terms through offsets and allocations described in Section 10.
If a Creator has a negative balance under the Platform's payout calculations (for example, due to chargebacks, refunds, disputes, fees, or other adjustments), VOD Chatter may set off the negative amount against any future payouts owed to that Creator on this or any other account they control, and may delay payouts or require additional verification before resuming payouts.
VOD Chatter may investigate suspected fraud, abuse, or prohibited activity and may suspend accounts, disable features, refuse payouts, and/or cooperate with Stripe, financial institutions, and law enforcement as appropriate. We may request additional information to verify identity, payment authorization, or compliance with these Terms.
Because VOD Chatter does not host video or chat content, we cannot directly remove or disable access to content served by YouTube, Twitch, or other third-party platforms. If you believe content displayed through VOD Chatter is illegal under U.S. law or infringes your rights, you should report it directly to the hosting platform (for example, YouTube or Twitch) using their official reporting mechanisms.

If you send us a DMCA notice or other report, you understand that VOD Chatter itself generally cannot remove or disable access to embedded content that is streamed directly from third-party platforms. Our typical response is to acknowledge receipt of your notice and direct you to submit it through the official reporting tools of the platform that actually hosts the material at issue (for example, YouTube or Twitch). VOD Chatter is not obligated to forward your notice to those platforms or to take any further action in response, but may choose to do so in its discretion.
VOD Chatter does not moderate or remove lawful speech or usernames based on viewpoint or offensiveness.
VOD Chatter and its logos, trademarks, design, and software are owned by VOD Chatter LLC or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of our site or software except as necessary to use the Platform as intended.
User Content License. If you upload, submit, or otherwise provide any content to the Platform other than embedded content hosted by third-party platforms (for example, profile information, channel descriptions, branding, or images), you grant VOD Chatter a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in connection with operating, promoting, and improving the Platform. You represent and warrant that you have all rights necessary to grant this license.
If you choose to submit ideas, suggestions, or feedback about VOD Chatter, you grant us a perpetual, irrevocable, worldwide, sublicensable, royalty-free license to use and incorporate that feedback without any obligation to you.
In addition to any personal data described in our Privacy Policy, we may collect technical and usage information about how you access and use the Platform (such as device and browser information, IP address, access times, pages viewed, and interactions with features). We may use this information to operate, maintain, secure, and improve the Platform, develop new features, personalize your experience, and monitor and prevent fraud and abuse.
We may also create aggregated, de-identified, or anonymized data derived from your use of the Platform, which does not identify you personally. We may use and disclose such aggregated or de-identified data for any lawful business purpose, including analytics, performance tracking, and marketing, without further notice to you or compensation.
Our collection and use of personal data is further described in our Privacy Policy.
VOD Chatter makes no promise or guarantee that any Creator will earn any particular amount of revenue, or that any specific number of Supporters will view or subscribe to a channel. Viewer behavior, platform algorithms, and third-party decisions (including YouTube and Twitch moderation and recommendation systems) are outside our control.
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied. To the maximum extent permitted by law, VOD Chatter disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Without limiting the foregoing, we do not warrant that:
VOD Chatter may, at any time and without liability, modify, suspend, or discontinue any feature, tool, or aspect of the Platform, including in response to changes in third-party APIs, terms, or technical requirements. You are responsible for your own internet connection, device, browser settings, and any third-party software (such as ad blockers) that may affect playback or site functionality.
We take the security of the Platform seriously and use industry-standard technical and organizational measures to safeguard our systems and data. This includes limiting access to production systems, regularly reviewing our infrastructure and code, and relying on reputable third-party providers for sensitive functions such as payment processing, hosting, networking, and security. For example, payment information is processed and stored by Stripe and similar well-known providers; VOD Chatter does not store full payment card numbers on its servers.
No system is perfectly secure. To the maximum extent permitted by law, we do not guarantee that unauthorized third parties will never defeat our security measures or those of our providers, or use your data improperly. VOD Chatter is not liable for unauthorized access to or use of your account or data that occurs despite our reasonable security measures, except to the extent such access is directly caused by our gross negligence or willful misconduct. To the extent permitted by law, we are not responsible for any indirect, incidental, or consequential damages arising from such events.
You are responsible for keeping your account credentials confidential and for all activity under your account. You agree to take reasonable steps to prevent unauthorized access and to notify us promptly at support@vodchatter.com if you believe your account has been compromised. We may suspend or disable access, reset credentials, or take other steps we consider reasonably necessary to protect the Platform, you, or others in the event of suspected unauthorized access or security issues.
You may close or delete your account using the self-service tools available after you log in. For security reasons, we generally do not accept account deletion requests made by email or through other channels and may require that all such actions be completed through the authenticated in-product flow, except where we are legally required to act differently.
VOD Chatter may also close or delete an account, or limit access to it, at any time and in its discretion for lawful business, operational, or compliance reasons, and we are not required to provide advance notice.
Deleting or closing an account does not require VOD Chatter to delete or erase data that we are permitted or required to retain for lawful business, operational, security, or compliance reasons. This may include records needed for fraud prevention, chargeback handling, tax or accounting obligations, legal requirements, or enforcement of these Terms. We have no obligation to provide copies of, return, or restore any data, content, or settings associated with your account.
VOD Chatter may continue to use aggregated, de-identified, or anonymized information derived from your use of the Platform after your account is deleted, as such information does not personally identify you.
Account closure or deletion may result in the permanent loss of usernames, display names, or other account identifiers. VOD Chatter is not responsible for any impact resulting from such loss and does not guarantee that any identifier will be available to you again in the future.
To the maximum extent permitted by law, in no event will VOD Chatter LLC or its owners, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Platform, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any and all claims arising out of or relating to the Platform or these Terms will not exceed the greater of (a) the total amount you paid to VOD Chatter, if any, during the six (6) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
Because we do not host video or chat, we are not liable for content originating from YouTube, Twitch, or other third-party platforms, or for their moderation or enforcement decisions.
You agree to indemnify, defend, and hold harmless VOD Chatter LLC and its owners, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
These Terms and your use of the Platform are governed by the laws of the State of Wyoming, U.S.A., without regard to its conflict-of-laws principles.
Mandatory Arbitration. Except for claims that may be brought in small-claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved exclusively by binding arbitration on an individual basis. The arbitration will be administered by a reputable arbitration provider (such as the American Arbitration Association) under its applicable rules. The arbitration will take place in a location reasonably convenient to both parties or remotely, as permitted by the arbitration provider's rules. The arbitrator, and not any court or agency, shall have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this arbitration agreement is void or voidable, to the extent permitted by law.
Class Action Waiver. You and VOD Chatter agree that all disputes will be resolved only on an individual basis, and that neither party will bring or participate in any class, collective, or representative action or proceeding against the other. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of representative or class proceeding.
If a court determines that the class-action waiver is unenforceable with respect to any particular claim, then that claim must be brought in court (not arbitration), and the remainder of these arbitration provisions will remain in effect.
VOD Chatter will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, labor disputes, governmental actions, internet or telecommunications failures, third-party platform outages, or failures of hosting providers or payment processors.
We may access, preserve, and disclose account information or other data if we believe it is reasonably necessary to (a) comply with law, legal process, or governmental requests; (b) enforce these Terms; (c) address fraud, security, or technical issues; or (d) protect the rights, property, or safety of VOD Chatter, our users, or others.
We may update these Terms from time to time. When we do, we will post the updated version on this page and revise the "Last Updated" date at the top. Changes take effect when they are posted, unless a later effective date is stated. For material changes, we may also provide additional notice (for example, by email or an in-product message), where required by law. Your continued access to or use of the Platform after any changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.
We may also update or change features of the Platform, pricing, and Creator revenue shares (including subscription and gift subscription percentages) prospectively, and we will reflect such changes in these Terms or on the Platform.
These Terms, together with any policies or guidelines referenced in them (including our Privacy Policy), constitute the entire agreement between you and VOD Chatter regarding the Platform and supersede any prior understandings or agreements (whether written or oral).
You may not assign or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, sale of assets, reorganization, or by operation of law.
We may use third-party vendors, service providers, and contractors (such as hosting providers, content delivery networks, analytics providers, and payment processors) to provide the Platform and related services. By using the Platform, you authorize us to engage such third parties and share information with them as reasonably necessary for those purposes, subject to our Privacy Policy.
Nothing in these Terms creates any partnership, joint venture, employment, agency, franchise, or fiduciary relationship between you and VOD Chatter. You and VOD Chatter are independent contracting parties only.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
